Supplemental Terms – Video Compression Services

The following terms (the “Video Compression Terms”) form a part of the AirVantage Services Agreement, IoT Solutions Agreement, or other services agreement between Semtech and Customer that references these terms (the “Agreement”).

Customer” and “Semtech” mean the entities that are parties to the Agreement.

Semtech Server” means the physical or virtual server owned or operated by Semtech that receives the compressed video from the Video Compression Hardware.

Video Compression Hardware” means a router or other computing device that receives video streams from one or more connected cameras, and compresses and encrypts them using the Video Compression Software. The Video Compression Software may come pre-installed on the Video Compression Hardware, but is not considered to be a part of the Video Compression Hardware.

Video Compression Services” means the services provided by Semtech under the Agreement that enable Customer to transmit the compressed and encrypted video from the Video Compression Hardware, over a cellular network, to the Semtech Server.

Video Compression Software” means the Digital Barriers software that executes on the Video Compression Hardware, and compresses and encrypts a video stream prior to transmission to the Semtech Server.

1. Video Compression Services. The fees applicable to the use of the Video Compression Services are described in the applicable pricing appendix or other pricing document that forms a part of the Agreement. For the avoidance of doubt, the Video Compression Services are “Services” under the Agreement, and the terms of the Agreement relating to the Services (including any disclaimers of warranties and limitations of liability) will also apply to the Video Compression Services.

2. Restrictions.

a. Customer shall use the Video Compression Services only in connection with SIMs that are assigned to an applicable Video Compression Services rate plan.

b. Customer shall not use the Video Compression Services for any purpose that is unlawful.

3. Video Compression Hardware. If Customer purchases any Video Compression Hardware from Semtech, the purchase and sale of the Video Compression Hardware (including applicable warranties) will be governed by (a) the applicable terms of the Agreement governing hardware sales, or (b) if the Agreement does not address hardware sales, the General Terms & Conditions of Sale for IoT Products and Services available at www.sierrawireless.com/terms-of-sale as of the date the order for the Video Compression Hardware is placed by Customer. Notwithstanding the foregoing, if the Video Compression Hardware is manufactured by a third party (a “Third Party Product”), then Customer acknowledges that the warranties (if any) are provided by the manufacturer, and Semtech’s
sole obligation (and Customer’s sole remedy) in the event of any warranty claim relating to such a product shall be to provide reasonable support to Customer to submit a warranty claim to the manufacturer.

4. Video Compression Software. Semtech does not license the Video Compression Software to Customer. Customer’s use of the Video Compression Software is governed solely by the Digital Barriers end-user license agreement available at www.digitalbarriers.com/end-user-licence-agreement, or such other Digital Barriers terms that Customer may accept when it downloads or installs the Video Compression Software.

5. Video Storage and Viewing. Customer acknowledges that the Video Compression Services do not include the storage of video, nor do they provide Customer with the capability to view video. Customer will require a separate software application to store or view video, which is not provided by Semtech.

6. Changes. Customer acknowledges that the Video Compression Services may be changed or discontinued, including if Semtech’s agreement with Digital Barriers is amended or terminated. Semtech will endeavor to provide reasonable notice to Customer of any material changes or discontinuance of the Video Compression Services.

7. Conflicts. If there is any conflict or inconsistency between these Video Compression Terms and terms elsewhere in the Agreement, the Video Compression Terms will prevail, but solely to the extent relating to the subject matter of these Video Compression Terms.
